Terms of Use
These Terms of Use govern access to and use of arbstax.com (the “Site”), operated by ARBSTAX LLC, doing business as A.R. Business Services and ARBSTAX (“ARBSTAX,” “we,” “us,” or “our”). By using the Site, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Site.
1. Website information only
Site content is provided for general informational and educational purposes. It is not individualized tax, legal, accounting, investment, or financial advice and should not be relied upon as a substitute for advice based on your particular facts. Tax laws and administrative guidance change, and information may become incomplete or outdated.
2. No professional relationship through website use
Visiting the Site, submitting an inquiry, scheduling a consultation, or making a payment does not by itself create a client relationship or require ARBSTAX to accept an engagement. Professional services begin only after ARBSTAX confirms acceptance and the parties complete the applicable engagement agreement and required intake steps. A signed engagement agreement controls the scope, responsibilities, fees, deadlines, deliverables, and termination of professional services. If that agreement conflicts with these website Terms, the engagement agreement controls for the professional service.
3. Eligibility and acceptable use
You must be legally capable of agreeing to these Terms. You may not use the Site to violate law, interfere with its operation, attempt unauthorized access, test or circumvent security controls, introduce malicious code, collect information about others without authority, impersonate another person, or infringe intellectual-property or privacy rights. We may restrict Site access when reasonably necessary to protect users, systems, or legal rights.
4. Inquiries and sensitive information
The general inquiry form and ordinary email are intended only for initial contact. Do not send Social Security numbers, taxpayer identification numbers, bank-account numbers, passwords, tax returns, payroll records, or other sensitive documents through those channels. Accepted clients will receive instructions for the appropriate secure client portal or document-transfer method.
5. Pricing, payments, and recurring plans
Displayed prices are starting prices or plan prices subject to the stated eligibility limits. Final scope and add-on fees may depend on volume, complexity, filing jurisdictions, condition of records, and other facts. Stripe processes hosted online payments. Recurring plans renew at the price and frequency disclosed at checkout until canceled. The separate Cancellation & Refund Policy, checkout disclosures, and applicable engagement agreement govern recurring billing, cancellation, refunds, service suspension, and plan-specific limits.
6. Client responsibilities and deadlines
You are responsible for providing complete, accurate, and timely information; reviewing work and questions sent to you; maintaining access to required systems; and meeting responsibilities stated in the engagement agreement. ARBSTAX is not responsible for a missed filing, payment, payroll, or other deadline caused by late, incomplete, inaccurate, inaccessible, or unverified information, or by a client’s failure to timely review or authorize work. No deadline is guaranteed unless expressly accepted in writing.
7. Tax returns, filings, and government charges
Government filing fees, taxes, penalties, interest, software subscriptions, payroll-platform fees, and other third-party charges are not included unless expressly stated. ARBSTAX cannot guarantee a tax outcome, refund, acceptance of a filing, response time, or action by any government agency. Clients remain responsible for taxes and other amounts owed to government agencies.
8. EIN and IRS-document services
Some government documents, including EIN confirmation and IRS verification letters, may be available directly from the IRS without a professional-service fee. ARBSTAX charges for its own professional preparation, authorized representation, communication, and handling services. ARBSTAX is a private business and is not the IRS or another government agency. Government response times and document availability are outside our control.
9. Enrolled Agent-led firm
ARBSTAX is an Enrolled Agent-led firm. Enrolled Agents are federally authorized tax practitioners who may represent taxpayers before the IRS when properly authorized. The qualifications and responsibilities of professionals assigned to an engagement will depend on the service and will be identified as applicable. Nothing on the Site represents that every person providing administrative, bookkeeping, or support services is an Enrolled Agent.
10. Electronic communications
By submitting contact information, you authorize ARBSTAX to respond regarding your inquiry or service. Consent to receive marketing text messages or automated marketing calls is not required to purchase services and will be requested separately if used. You may request that nonessential marketing communications stop. Electronic communications may carry risks; use the secure portal for sensitive information.
11. Client portal and third-party services
ARBSTAX may use third-party services such as WordPress.com, Canopy, Stripe, Calendly, Google services, QuickBooks Online, payroll platforms, and tax software. Their availability and processing are subject to their own terms and privacy practices. You are responsible for protecting your credentials, using unique passwords, enabling available multifactor authentication, and promptly reporting suspected unauthorized access. We use reasonable administrative, technical, and physical safeguards, but no online service can be guaranteed completely secure or continuously available.
12. Intellectual property
Unless otherwise stated, Site text, graphics, branding, and original materials are owned by or licensed to ARBSTAX and protected by applicable law. You may view or print Site materials for personal, noncommercial use. You may not reproduce, sell, modify, distribute, frame, or commercially exploit them without written permission. Third-party names and marks remain the property of their respective owners.
13. External links
The Site may link to third-party websites for convenience. A link does not constitute endorsement, sponsorship, or control. ARBSTAX is not responsible for third-party content, availability, security, transactions, or privacy practices.
14. Disclaimer of website warranties
To the maximum extent permitted by applicable law, the Site is provided “as is” and “as available.” ARBSTAX does not warrant that Site content will always be complete, current, error-free, secure, uninterrupted, or suitable for a particular purpose. These website disclaimers do not eliminate responsibilities expressly accepted in a signed engagement agreement or rights that cannot legally be waived.
15. Limitation of website liability
To the maximum extent permitted by applicable law, ARBSTAX will not be liable for indirect, incidental, special, consequential, or punitive damages arising solely from use of or inability to use the Site. This limitation does not apply where prohibited by law and does not replace the liability provisions of an applicable engagement agreement.
16. Correction of ARBSTAX-prepared work
If an error caused solely by ARBSTAX requires correction, ARBSTAX will correct the prepared work without an additional professional preparation fee. Government charges, penalties, interest, and third-party costs are excluded, except where applicable law or a signed engagement agreement provides otherwise.
17. Copyright notices
To report claimed copyright infringement, send a written notice to ARBSTAX LLC, c/o Northwest Registered Agent LLC, 418 Broadway, STE N, Albany, NY 12207, or email info@arbstax.com. The notice should identify the protected work, the material claimed to infringe, its location on the Site, your contact information, a good-faith statement, an accuracy-and-authority statement under penalty of perjury, and a physical or electronic signature.
18. Governing law and disputes
These Terms are governed by applicable United States federal law and the laws of the State of New York, without regard to conflict-of-law principles, except where another law must apply. Before beginning a formal dispute concerning the Site, the parties should attempt in good faith to resolve it by written notice. Any forum-selection, arbitration, or dispute-resolution requirements governing professional services must be stated in the applicable signed engagement agreement. Nothing in these Terms limits rights or remedies that cannot legally be waived.
19. Changes, severability, and no waiver
We may update these Terms prospectively by posting a revised version and an updated effective date. Material changes affecting an active paid service will be communicated as required by applicable law or the engagement agreement. If a provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver.
20. Contact
Questions about these Terms may be sent to info@arbstax.com. Do not send sensitive tax or financial records through ordinary email.
